Terms and Conditions of Service Agreement  

1. Service Engagement:

1.1 Darvolah, hereafter referred to as the “Service Provider,” agrees to provide the Client, hereafter referred to as the “Client,” with the services outlined in the agreed-upon project scope. Services may include but are not limited to audio-visual installation, network services, cable installation, IT hardware installations, and enterprise IT infrastructure services.

2. Project Scope:

2.1 The project scope will be detailed in a written agreement, specifying deliverables, milestones, timelines, and any other relevant project details. Both parties must agree upon any modifications or changes to the project scope in writing.

3. Payment Terms:

3.1 Payment terms, including rates, invoicing details, and any applicable taxes, will be clearly outlined in the project agreement. Payments are due as specified in the Agreement, and any late payments may incur additional charges.

4. Confidentiality:

4.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the project. This obligation extends beyond the termination of the Agreement.

5. Project Delays:

5.1 The Service Provider will make every reasonable effort to adhere to the agreed-upon timelines. The Client acknowledges that unforeseen circumstances may cause delays, and the Service Provider will promptly communicate any such delays and work diligently to minimize their impact.

6. Changes and Amendments:

6.1 Any changes or amendments to the project scope, timelines, or deliverables must be agreed upon in writing by both parties. Changes may impact project costs and timelines.

7. Termination:

7.1 Either party may terminate this Agreement with written notice if the other party breaches any material term or condition. In the event of termination, the Client agrees to compensate the Service Provider for services rendered up to the termination date.

8. Warranty:

8.1 The Service Provider warrants that all services will be performed in a professional and workmanlike manner. Any defects or deficiencies discovered within a reasonable period after completion will be rectified by the Service Provider at no additional cost to the Client.

9. Governing Law:

9.1 This Agreement shall be governed by and construed under the laws of the present state without regard to its conflict of law principles.

10. Entire Agreement:

10.1 This Agreement constitutes the entire understanding between the Service Provider and the Client, superseding all prior agreements or understandings, whether oral or written.
